Prepared for: Forga Ltd (Companies House registered), 71-75 Shelton Street, London WC2H 9JQ

Contact: hello@forga.co.uk | forga.co.uk

Positioning: Forga is a “tool only” marketplace connecting farmers and workers for short-notice agricultural work. Forga is not an employer, employment agency, or party to any work arrangement made between users. Farmers are responsible for their own insurance; workers are responsible for their own tax affairs.

PART 1: TERMS OF SERVICE

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern use of the Forga platform, including the website at forga.co.uk and the Forga mobile application (together, the “Platform”), operated by Forga Ltd (“Forga”, “we”, “us”), a company registered in England and Wales.

By creating an account or otherwise using the Platform, you (“User”) agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

  • “Farmer”: a User who posts a Job Listing seeking short-notice/short-term agricultural work.
  • “Worker”: a User who expresses interest in, and may be confirmed for, a Job Listing.
  • “Job Listing”: a listing created by a Farmer describing available work.
  • “Interest”: a Worker's expression of interest in a Job Listing, which may progress to Messaged, Offered, Confirmed, or Completed status.
  • “Platform”: the Forga website and app, and all related services.

3. Eligibility

Users must be at least 18 years old to register.

Workers confirm they hold the right to work in the UK and are responsible for the accuracy of this confirmation.

4. Nature of the Service – “Tool Only”

Forga provides a platform that enables Farmers and Workers to find and communicate with one another. Forga is not a party to, and does not control, any work arrangement, contract, or agreement made between a Farmer and a Worker.

Forga is not an employer, joint employer, or employment agency in respect of any Worker.

Forga does not supervise, direct, or control the work performed.

Forga does not guarantee the availability, quality, suitability, or safety of any Job Listing or any Worker.

5. Farmer Responsibilities

  • Maintain appropriate insurance for the work offered, including public liability and, where applicable, employer's liability cover.
  • Confirm insurance arrangements via the in-app declaration before publishing a Job Listing.
  • Provide accurate information about the work, location, and any hazards.
  • Comply with applicable UK health & safety, employment, and agricultural sector legislation.

6. Worker Responsibilities

  • Manage your own tax affairs, including registering for Self Assessment with HMRC if required.
  • Confirm your right to work in the UK.
  • Provide accurate profile information, including skills and experience.
  • Follow reasonable safety instructions given on-site by the Farmer.

7. Platform Role and Limitation of Liability

To the fullest extent permitted by law, Forga excludes liability for losses arising from work arrangements between Farmers and Workers, including but not limited to personal injury, property damage, non-payment, or disputes, save for death or personal injury caused by Forga's own negligence, or any other liability that cannot lawfully be excluded.

8.1 Payment Processing

All payments between Farmers and Workers are processed through Stripe Connect. By registering, Users authorise Forga to facilitate the transfer of funds via Stripe on their behalf. Forga does not itself hold, custody, or have access to User funds at any point.

Forga uses Stripe Connect direct charges: each payment is created directly on the Worker's own connected Stripe account, so the Worker (not Forga) is the party charging the Farmer's card. Forga's role is limited to facilitating this connection and automatically deducting its platform fee (Section 8.2) at the point of release.

One day before the scheduled work, Forga (via Stripe) places an authorisation hold on the Farmer's saved payment card for the agreed amount. This is not a charge; no funds move at this point. Once the Worker marks the job complete and the Farmer confirms this, the authorised amount is captured and released to the Worker, less Forga's platform fee. If the booking is not confirmed in time, it is automatically cancelled and the hold released; no funds are taken.

Workers must complete identity and payout verification via Stripe Connect Express onboarding before expressing interest in or being confirmed for a job. Stripe collects and verifies this information (name, date of birth, address, bank details) directly. Forga does not collect, see, or store it. Farmers must have a valid saved payment method before posting a job. Forga reserves the right to pause a User's ability to transact if Stripe's verification requirements are not met or maintained.

8.2 Fees

The Platform charges a 3% fee on each job completed through the app, deducted automatically by Stripe from the captured payment at the point of release to the Worker. Forga reserves the right to introduce higher or lower fees in future, with reasonable notice to Users.

8.3 Off-Platform Hiring Fee

If you hire, employ, or continue engaging a worker introduced to you through Forga, whether as an employee, self-employed contractor, or informal arrangement, outside the Forga platform, within 12 months of your last Forga booking with that worker, you agree to pay Forga a one-off fee equal to 10% of that worker's estimated gross annual pay for the role.

This fee reflects the ongoing matching, vetting, and platform costs Forga provides, and applies regardless of who initiates the arrangement.

This fee does not apply where more than 12 months have passed since your last Forga booking with that worker, or to workers the farmer introduces to Forga themselves.

8.4 Disputes and Refunds

Disputes relating to payments are handled in accordance with Section 12 (Dispute Resolution). Where a Worker's non-attendance or non-completion of a confirmed job is established under Section 12, Forga will facilitate a refund from the Worker's connected Stripe account to the Farmer for that booking.

Forga does not independently investigate, adjudicate, or determine fault in payment disputes. Its role is limited to facilitating the refund mechanism once a matter has been resolved under Section 12.

Where a refund is issued after funds have already settled to a Worker's connected Stripe account, the Worker is responsible for repaying the refunded amount. Forga is not liable for any shortfall arising from insufficient funds in a Worker's connected Stripe account.

8.5 Stripe Account Verification

Forga is not responsible for delays, rejections, or restrictions placed on a User's Stripe account by Stripe's own verification, risk, or compliance processes. Users experiencing issues with their Stripe account should contact Stripe directly. Forga is not liable for any loss arising from a payment authorisation expiring, failing, or being declined by Stripe or a User's card issuer.

9. Account Suspension and Termination

Forga may suspend or terminate a User's account for breach of these Terms, fraudulent activity, or conduct that risks the safety of other Users.

Users may delete their account at any time via account settings or by contacting support@forga.co.uk.

10. Acceptable Use

Users must not:

  • Harass, threaten, or discriminate against other Users.
  • Post false, misleading, or fraudulent information.
  • Use the Platform for any purpose other than genuine agricultural work matching.
  • Attempt to circumvent safety or verification features.

11. Safety

Forga does not provide any safety-monitoring, location-sharing, or emergency-response features. Users are solely responsible for their own personal safety when arranging, accepting, or carrying out work found through the Platform, including taking any precautions they consider necessary (such as informing a friend or family member of their whereabouts). In the event of an emergency, Users should contact the emergency services directly (999 in the UK). Forga is not able to respond to or monitor safety incidents. For non-emergency issues relating to another User's conduct or a concern arising from the Platform, Users can contact Forga support at support@forga.co.uk.

Forga is not liable for any harm, loss, or injury arising from work arranged through the Platform.

12. Dispute Resolution

Disputes between Farmers and Workers are the responsibility of those Users to resolve directly. Forga may, at its discretion, assist by facilitating communication but is not obliged to mediate or adjudicate disputes.

If a Farmer cancels a job after confirming with a Worker, three times, the Farmer will be suspended from the app for 3 days. This is logged as an internal record, visible only to Forga's admin team, and is not shown publicly on the Farmer's profile.

If a Worker cancels or does not show up to a confirmed job, three times, the Worker will be suspended from the app for 3 days. This is logged as an internal record, visible only to Forga's admin team, and is not shown publicly on the Worker's profile. Where a Worker's non-attendance is established under this Section, this counts as one of the three offences above and, where a payment has already been released, may trigger a refund under Section 8.4.

Offence records expire automatically 12 months after the date of the offence, unless a related dispute is still open, at which point the record is removed and does not count towards future suspension thresholds.

Forga reserves the right to change this logic and Users will be notified via email should the threshold or approach change.

13. Intellectual Property

All content, branding, and software comprising the Platform remain the property of Forga Ltd or its licensors. Users retain ownership of content they submit (e.g. profile information) but grant Forga a licence to display it on the Platform for its intended purpose.

14. Changes to These Terms

Forga may update these Terms from time to time. Material changes will be notified to Users via the Platform or by email in advance of taking effect.

15. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any disputes.

16. Contact
